Terms of Service

These Terms govern your access to and use of PropQ. Please read them carefully — they include important limitations on our liability and describe how our reports are estimates rather than advice.

1.Who we are and your acceptance

PropQ is operated by TODO — Registered legal entity name, a company licensed by Dubai Department of Economy and Tourism (DET) under trade licence TODO — Trade licence number, with its registered office at TODO — Registered office address, Dubai, United Arab Emirates (“PropQ”, “we”, “us” or “our”).

These Terms of Service (the “Terms”) form a binding agreement between us and the company or individual that registers for or uses the service (“you” or the “Customer”). By creating an account, ticking the acceptance box at sign-up, or otherwise accessing or using PropQ(the “Service”), you confirm that you have read and agree to these Terms, our Privacy Policy, Acceptable Use Policy and Reports & Financial Disclaimer, which are incorporated by reference. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “you” means that entity.

2.Definitions

  • Authorised User— an individual broker or employee you permit to use the Service under your account (a “seat”).
  • Customer Data— data you or your Authorised Users submit to the Service, including property inputs, and personal data of your clients and prospective investors (“Investor Data”).
  • Reports — the ROI calculations, PDFs and shareable pages the Service generates from your inputs and configured assumptions.
  • Market Data — reference benchmarks and indicators derived from public and third-party sources (e.g. Dubai Land Department open data) used to inform assumptions.

3.Eligibility and accounts

The Service is a business-to-business tool intended for licensed real estate professionals and agencies. You must be at least 18 years old and able to form a binding contract. You are responsible for ensuring your use — and your Authorised Users’ use — complies with all laws and any licensing rules that apply to you, including those of the Dubai Land Department (DLD) and the Real Estate Regulatory Agency (RERA).

You are responsible for the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@propq.ae of any unauthorised use. Each seat is for one named individual; credentials must not be shared.

4.Free trial, plans and seats

New accounts may start a free trial (currently 14 days) with full access and no payment card required. At the end of the trial, continued use requires an active paid subscription. We may modify or withdraw trials at any time.

Plans are offered on a per-broker (per-seat) basis, billed monthly or annually as shown on our pricing page at the time you subscribe. You may add or remove seats subject to your plan. Plan features, limits and prices may change on a go-forward basis as described in section 15.

5.Fees, billing and taxes

You agree to pay the fees for your selected plan. Unless stated otherwise, fees are quoted in UAE Dirhams (AED) and are exclusive of Value Added Tax (VAT), which will be added where applicable at the prevailing rate. Subscriptions renew automatically for successive terms unless cancelled before the renewal date.

Billing, invoicing, cancellation, renewal and refund terms — including your cooling-off and refund eligibility — are set out in our Billing, Refund & Cancellation Policy, which forms part of these Terms. Except as required by law or stated in that policy, fees are non-refundable and payment obligations are non-cancellable.

6.Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. You must not misuse the Service, misrepresent Reports as official valuations, generate misleading marketing, or use the Service to send unlawful communications. We may investigate and act on suspected violations, including suspending access.

7.Customer Data and personal data

As between the parties, you own your Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, process and transmit Customer Data solely to provide, secure and improve the Service and as otherwise permitted in these Terms.

Where the Service processes personal data of your clients or prospective investors on your behalf, you act as the data controller and we act as your processor. That processing is governed by our Data Processing Addendum, which forms part of these Terms. You are responsible for having a lawful basis to collect and share Investor Data with us and for any notices or consents required under the UAE PDPL.

8.Reports are estimates — no advice

PropQ is a calculation and presentation tool. All Reports and figures are estimates generated from the inputs you supply and configurable assumptions. They are provided for information only and do not constitute financial, investment, tax, accounting, valuation or legal advice, an offer, or a solicitation, and are not a property valuation regulated by the DLD or RERA.

You are solely responsible for the accuracy of the inputs and assumptions you use, for verifying outputs before relying on or sharing them, and for the content of Reports you distribute to your clients. Full terms are in the Reports & Financial Disclaimer.

9.Market data and third-party services

The Service may surface Market Data derived from public and third-party sources. Such data is provided “as is” and may be incomplete, delayed or inaccurate; we do not warrant it and are not responsible for third-party source content. The Service also relies on third-party providers (e.g. hosting, messaging via WhatsApp, and payment processing) whose own terms govern their services.

10.Intellectual property

The Service, including its software, design, templates and the PropQ name and marks, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. You may use, brand and distribute the Reports you generate for your legitimate business. You must not copy, reverse engineer, resell, or create derivative works of the Service itself, or remove proprietary notices, except as permitted by law.

11.Warranties and disclaimers

We provide the Service with reasonable skill and care. Except as expressly stated, and to the maximum extent permitted by law, the Service and all Reports and Market Data are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will meet your requirements.

12.Limitation of liability

To the maximum extent permitted by applicable law, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, business, or data, arising out of or relating to the Service, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms and the Service will not exceed the fees you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable UAE law.

13.Indemnity

You will indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your Customer Data, your Reports and how you use or distribute them, your breach of these Terms or applicable law, or your infringement of any third-party rights.

14.Suspension and termination

You may cancel your subscription at any time as described in the Billing, Refund & Cancellation Policy. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm or legal liability, and (where practicable for non-critical breaches) after notice and a chance to cure.

On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period and then delete or anonymise it in line with our Privacy Policy and the Data Processing Addendum, unless retention is required by law. Sections that by their nature should survive (including fees due, IP, disclaimers, liability, indemnity and governing law) survive termination.

15.Changes to the Service and these Terms

We may update the Service and these Terms from time to time. For material changes we will give reasonable notice (for example by email or in-app notice) before they take effect. Changes apply going forward; your continued use after the effective date constitutes acceptance. If you do not agree to a change, you may stop using the Service and cancel as described in the refund policy.

16.Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the Courts of Dubai. Before commencing proceedings, the parties will attempt in good faith to resolve any dispute amicably by contacting legal@propq.ae.

17.General

  • Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices. Legal notices to us should be sent to legal@propq.ae; we may notify you via the email on your account or in-app.
  • Entire agreement & severability. These Terms and the policies they reference are the entire agreement between us on this subject. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver of it.
